(On the provision of services to individuals who hold bank cards for carrying out transactions online using a mobile application Humans.uz)

This document is an official offer (public offer) to individuals, bank card holders (hereinafter referred to as the User) to conclude a contract for the provision of services for performing Transactions from a Bank Card online using a Mobile Application Humans.uz (hereinafter referred to as the Agreement).

The service for performing Transactions with a Bank Card in the online mode is provided using a Mobile application Humans.uz (hereinafter referred to as the Mobile Application) used by the JSC “Universal Bank” (hereinafter referred to as the BANK) for the purpose of providing services to Users.

The User's performance of the actions provided for in this Offer means his unconditional consent to the following conditions (acceptance of the Offer). From the moment of acceptance of the Offer, the Contract is considered concluded.

In everything that is not directly provided for by the Contract, the parties are guided by the current legislation of the Republic of Uzbekistan and the customs of business turnover.

1. TERMS AND DEFINITIONS

A bank card is an online payment card issued by any commercial bank.

User ID - SIM-card, subscriber number assigned by the owner of the Mobile Application "Humans" LLC (address: Republic of Uzbekistan, 100047, Tashkent, Yashnobad district, Makhtumkuli str, d. 2 b, state registration number 749733, TIN 306 624 856) for the User, allowing to identify the User in the Mobile application, authentication tools for accessing the Mobile application (passwords, biometric authentication tools: FaceID, TouchID, etc.), as well as other identification tools that LLC "Humans" and the User can agree to use. All actions performed using Identifiers are considered to be performed by the User himself, and the User is considered to have passed identification.

A mobile application is a software product, a means of remote interaction that is installed on the User's device and allows the User, among other things, to make payments for goods and services/works online, as well as to perform other actions provided for by the functionality of the Mobile Application. Information about the procedure for installing a Mobile Application on a Client device is provided on the website www.humans.uz. All actions performed in the Mobile Application using User IDs are considered to be performed by the User personally.

Transactions – payment for goods, services/works provided by LLC "Humans", made from a Bank card in online mode in a Mobile application in the national currency of the Republic of Uzbekistan.

OTP code is a one-time digital code sent by the issuing bank of the Bank Card to confirm the operation.

The user is a capable individual, the holder of a plastic bank card issued by any commercial bank.

Service – a Bank service that provides Users with the opportunity to perform Operations in the national currency; conversion during the operation from the national currency to “Sum” at the exchange rate of Universal Bank a (link).

2. ACCEPTANCE PROCEDURE

2.1. The acceptance of this Offer is carried out by performing an Operation using the Mobile Application, namely, performing the actions set by the Mobile Application interfaces necessary for performing the Operation (specifying the amount of the Operation, clicking the "Next" button, entering the OTP code).

2.2. In case of disagreement with the terms of the Offer, the User should not use the Service.

3. SUBJECT OF THE CONTRACT

3.1. The BANK provides Bank Card Users with the opportunity to make Transactions in the national currency from their bank card using the Mobile Application.

3.2. The mobile application is available on the iOS, Android platforms, detailed information about the installation of the Mobile Application is available at www.humans.uz 
The service is also available through payment tools, applications, websites and other technological platforms with which the copyright holder has established contractual relations.

3.3. The User is informed that in order to avoid abuse, as well as the legalization of income received from criminal activities and the financing of terrorism, a limit on the total amount of Transactions in the Mobile Application has been introduced for a month – no more than 100,000,000 (one hundred million) sum for receiving to one personal account of the subscriber of OOO "Humans" and no more than 100,000,000 (one hundred million) for sending operations. A month is a calendar month.

4. THE COST OF SERVICES AND THE PAYMENT PROCEDURE.

4.1. If the Operation requires the conversion of the currency of the Bank card of the issuing bank into the national currency of the Republic of Uzbekistan, such conversion is carried out by the Bank at the rate set by it at the time of the Operation (the moment of confirmation of the Operation by entering the OTP code), fixing the rate at the moment of authorization.

4.2. Funds are debited automatically from the User's bank card at the time of the Operation, taking into account the conversion rate specified above.

5. OBLIGATIONS OF THE PARTIES

5.1. THE BANK undertakes to:

- provide the possibility of unhindered User access to the Service;

- to ensure the secrecy of the User's personal data, the information about which became known to the BANK during the provision of the Service.

5.2. The User undertakes to:

- comply with the requirements of this Offer;

- independently ensure the information security of the device through which the Service is received;

- not use the Service for illegal purposes.

5.3. The BANK has the right to unilaterally make changes to this Offer, informing the User about it by publishing these changes on the BANK's website and in information messages in the interface of the Mobile Application or other tool through which the User receives the Service.

5.4. The BANK has the right to refuse the User to use the Service unilaterally and without explaining the reasons, including if the Operation parameters do not comply with the restrictions on the amounts and number of bank card transactions established by the BANK and/or applicable legislation, if the User's operations contain signs of unusual operations or carry reputational and/or financial risks for the BANK, as well as if the BANK suspects that the operation is carried out in violation of the requirements of the legislation of the Republic of Uzbekistan.

6. LIABILITY OF THE PARTIES

6.1. The Parties are responsible for non-fulfillment or improper fulfillment of the terms of this Agreement in accordance with the legislation of the Republic of Uzbekistan.

6.2. The User is responsible for any losses or other negative consequences that arise as a result of non-fulfillment or improper fulfillment of obligations under this Offer.

6.3. The user is fully responsible for the safety of his personal data when entering them on a device using unsecured connections, or malicious programs and applications that are under threat.

6.4. The BANK is not responsible for improper fulfillment of the terms of the Offer, if such non-fulfillment was the result of non-fulfillment of the terms of the Offer by the User.

6.5. The BANK is not responsible for any losses incurred by the User due to the fact that the User has not read and (or) has not read the terms of this Offer in a timely manner.

6.6. The BANK is not responsible for improper fulfillment of the terms of the Offer, if such non-fulfillment is caused by reasons beyond the BANK's control. The scope of the BANK's control is limited only to the performance of the Service itself, and does not include liability for failures caused by third parties, or in connection with the introduction of prohibitions or restrictions by state or judicial authorities.

6.7. The Parties are released from liability for non-fulfillment or improper fulfillment of obligations under this Offer, if this non-fulfillment was the result of force majeure circumstances that arose after the acceptance of the Offer as a result of extraordinary events that the Party could not have foreseen or prevented by reasonable measures (force majeure).

7. TERMINATION OF THE CONTRACT

7.1. The User has the right to refuse to execute the Offer at any time by refusing to use the Service.

8. PROCEDURE FOR CONSIDERATION OF DISAGREEMENTS

8.1. Any dispute arising from this Offer is subject to peaceful settlement on the basis of a written request from the User. The term of consideration of the appeal and the requirements for its content are determined by the current legislation of the Republic of Uzbekistan.

8.2. If the dispute that has arisen is not settled amicably, it is subject to consideration in the subordinate court at the location of the defendant in accordance with the procedure provided for by the current legislation of the Republic of Uzbekistan.

9. OTHER CONDITIONS

9.1. In everything that is not directly provided for by the Agreement, the Parties are guided by the current legislation of the Republic of Uzbekistan and the customs of business turnover.

9.2. By accepting this Offer, the User confirms his unconditional consent to all the terms of the Agreement and undertakes to fulfill it.
